- Acceptance of Terms
1.1 These Terms and Conditions (“Terms”) govern your use of the Brandwin Seller Portal located at www.brandwinsellers.in, provided by Brandwin.in Private Limited, having registered office at 793, 2nd Floor, Vishnu Complex, 1st Street, Sathy Road, Gandhipuram, Coimbatore, Tamil Nadu – 641012, India.
1.2 By creating a Seller Account or using any Seller services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and any Additional Agreements, including but not limited to our Privacy Policy, Marketplace Policies, Listing Rules, Payment Terms, and Seller Code of Conduct.
1.3 If you do not agree with these Terms, you must discontinue all use of BrandwinSellers.in immediately.
1.4 These Terms apply exclusively to Sellers (manufacturers, wholesalers, distributors, retailers, resellers, service providers) registered on BrandwinSellers.in and whose products are displayed for sale on Brandwin.in.
- Scope of Agreement
2.1 The Seller Portal (Brandwinsellers.in) is designated solely for Sellers to manage listings, inventory, orders, settlements, and business operations.
2.2 Buyer-facing operations, including browsing, ordering, checkout, payments, returns, and customer interaction occur exclusively on Brandwin.in.
2.3 To enable Seller commerce on Brandwin.in, Brandwin may display only the required business details such as store name, product listings, and other mandatory information necessary for compliance, invoicing, and marketplace operations.
2.4 Using Brandwinsellers.in constitutes acceptance that such required Seller information may be publicly visible on Brandwin.in.
- Binding Nature
3.1 These Terms constitute a legally binding agreement between Brandwin.in Private Limited and the Seller.
3.2 Continued usage of the Seller Portal signifies ongoing acceptance of all obligations and responsibilities detailed herein.
3.3 These Terms override any prior agreements, unless expressly stated in writing by Brandwin.
- Application and Acceptance of Terms
4.1 All Seller Services—including onboarding, listings, inventory, logistics, payments, returns handling—are governed by these Terms.
4.2 Eligibility Requirements:
(a) Seller must be 18+ years old.
(b) Seller must hold valid business documentation.
(c) Seller must use the portal purely for commercial purposes.
4.3 Brandwin may amend these Terms anytime through public posting. Continued use constitutes acceptance.
4.4 Additional Agreements (e.g., subscription plans, marketing services, fulfilment programs) override these Terms where applicable.
4.5 English version prevails over translations.
- Provision of Services
5.1 Contracting Entity
All Seller Services are provided by:

5.2 Access to specific features may require business verification (GST, ID, KYC).
5.3 Brandwin may modify, restrict, suspend, or discontinue any Seller Service without prior notice.
5.4 Certain services may be provided through affiliated partners.
5.5 Brandwin does not guarantee sales, traffic, or performance through promotional tools.
- Users Generally
6.1 Sellers must comply with all applicable Indian laws including but not limited to: IT Act 2000, Consumer Protection (E-Commerce) Rules 2020, GST Laws, Contract Act.
6.2 Sellers may not copy, distribute, or misuse Brandwin intellectual property.
6.3 The Privacy Policy governs the use of personal data.
6.4 Brandwin is not responsible for third-party services or integrations.
6.5 Prohibited activities include: hacking, scraping, bots, bypassing verification, manipulating systems.
6.6 Sellers may not post fake reviews or manipulate ratings.
6.7 Seller grants Brandwin a license to use uploaded content for marketplace operations.
- Member Accounts
7.1 A Learning Phase applies during initial onboarding where Brandwin may assist with listings.
7.2 After subscription activation, Sellers receive full dashboard access.
7.3 Seller is responsible for maintaining security of login credentials.
7.4 Brandwin may suspend or terminate accounts for misuse or violations.
- Seller Responsibilities
8.1 Accuracy of Information
Each Seller (“Member”) shall provide true, accurate, current, and complete business, product, and contact details during registration and shall promptly update such information whenever changes occur. Registration and participation on Brandwin.in are permitted solely for business or commercial purposes.
8.2 Learning Phase and Subscription Phase
Upon successful registration, Sellers will enter a Learning Phase, during which Brandwin will manage product listings, order processing, and related operations on behalf of the Seller for a limited period.
Upon subscribing to a Seller Plan, the Seller shall receive a dedicated Seller Dashboard, through which the Seller shall independently manage product listings, pricing, order fulfillment, and related account activities.
8.3 Compliance and Legality of Listings
Sellers shall ensure that all products, descriptions, images, and business information provided are lawful, accurate, and do not infringe upon any third-party rights, including intellectual property rights. Sellers shall not list, promote, or sell counterfeit, restricted, or prohibited items under any applicable laws or Brandwin’s policies.
8.4 Lawful Use and Conduct
Sellers shall use the Brandwin platform only in compliance with applicable laws, regulations, and Brandwin’s Terms and Policies. Sellers shall not engage in any fraudulent, deceptive, or misleading practices, nor impersonate any person or entity. Any misuse of the platform, including false representation or manipulation of product data, shall result in immediate suspension or termination of the Seller’s account.
8.5 Cooperation and Verification
Sellers shall provide all necessary documents, information, and cooperation requested by Brandwin for the purpose of verification, compliance review, or resolution of disputes. Failure to comply may result in delay, suspension, or termination of the Seller’s access to the platform.
8.6 Data Use and Privacy
By registering as a Seller, the Member consents to the inclusion and display of its business information on the Brandwin platform and authorizes Brandwin to share or process such data in accordance with the Brandwin Privacy Policy. Sellers are solely responsible for ensuring that their use of the platform complies with applicable data protection and e-commerce laws.
8.7 Indemnification
The Seller agrees to indemnify and hold harmless Brandwin, its affiliates, officers, employees, and representatives from any claims, losses, or damages arising out of (a) inaccurate or unlawful product listings, (b) infringement of third-party rights, or (c) breach of these Terms or any applicable law.
- Breach by Sellers
9.1 Right to Remove or Reject Content
Brandwin reserves the absolute right, at its sole discretion, to remove, modify, or reject any listing, image, description, or material (“User Content”) submitted, posted, or displayed by any Seller on the Platform if such User Content:
(a) violates any applicable law, rule, or regulation;
(b) breaches these Terms or any other Brandwin policies;
(c) may expose Brandwin or its affiliates to legal liability or reputational harm;
(d) infringes upon any intellectual property or third-party rights; or
(e) is, in Brandwin’s reasonable opinion, inappropriate, offensive, misleading, or detrimental to the interests of the Platform, its users, or the public.
9.2 Corrective and Disciplinary Measures
If Brandwin determines, or has reasonable grounds to believe, that a Seller has violated any provision of these Terms, Brandwin may, without notice and without any liability whatsoever, take such actions as it deems appropriate, including but not limited to:
(a) suspending or terminating the Seller’s account or any related accounts;
(b) restricting, downgrading, or discontinuing access to any services or features;
(c) removing any or all product listings or materials submitted by the Seller;
(d) imposing limitations on the number or category of products that may be listed; or
(e) undertaking any other remedial or preventive measure deemed necessary to safeguard the Platform and its users.
9.3 Events Constituting Breach
A Seller shall be deemed to be in breach of these Terms if, inter alia:
(a) the Seller fails to deliver goods or services after receipt of payment, or delivers goods materially inconsistent with the agreed description;
(b) the Seller provides false, incomplete, or misleading business, tax, or product information;
(c) the Seller engages in fraudulent, deceptive, or unethical practices, including use of unauthorized or stolen payment instruments; or
(d) the Seller’s actions or omissions result in financial loss, reputational damage, or potential legal exposure to Brandwin or any third party.
9.4 Cooperation with Authorities
Brandwin may fully cooperate with governmental, judicial, or regulatory authorities and, to the extent permitted under applicable law, may disclose a Seller’s identity, business details, or account information in response to lawful requests, investigations, subpoenas, or court orders. The Seller hereby waives any claim or action against Brandwin arising out of such disclosure.
9.5 Immediate Suspension in Case of Fraud or Misconduct
Where Brandwin reasonably suspects any fraudulent, dishonest, or unlawful activity by a Seller, Brandwin shall have the right to immediately suspend or terminate the Seller’s account, without prior notice and without any obligation to verify the breach further or compensate for any loss arising therefrom.
9.6 Indemnification
The Seller agrees to indemnify, defend, and hold harmless Brandwin, its affiliates, directors, officers, employees, and authorized representatives from and against any and all losses, liabilities, damages, penalties, costs, or expenses (including full legal fees) arising directly or indirectly from:
(a) any act, omission, or default of the Seller;
(b) any breach of these Terms or applicable law;
(c) any claim of infringement or violation of third-party rights; or
(d) any product or service supplied by the Seller through the Platform.
9.7 Limitation of Platform Liability
Brandwin functions solely as an intermediary providing an online marketplace for Sellers and Buyers. Brandwin shall not, under any circumstances, be held liable for any representations, listings, transactions, or conduct of any Seller on the Platform. Each Seller shall be solely responsible for the accuracy, legality, and quality of the goods, services, and information provided.
10.Limitation of Liability
10.1 Services Provided “As Is”:
All services, tools, and platform features offered by Brandwin.in are provided on an “as is” and “as available” basis. Brandwin.in does not guarantee uninterrupted access, error-free operation, or absolute security of the platform.
10.2 No Warranties:
Brandwin.in makes no warranties, express or implied, regarding the accuracy, reliability, suitability, or availability of any product listings, content, or services on the platform. Sellers and buyers use the platform at their own discretion and risk.
10.3 Limited Responsibility During Learning Phase:
During the learning phase, Brandwin.in may assist in handling product listings and order management on behalf of sellers. However, Brandwin.in shall not be liable for any delays, errors, or losses arising out of listing errors, order mismatches, or technical issues.
10.4 Seller’s Independent Responsibility:
After activation of a subscription plan, sellers manage their own dashboard, listings, and transactions. Brandwin.in shall not be held responsible for any incorrect data, misleading product information, non-delivery, or disputes arising between sellers and buyers.
10.5 Exclusion of Liability:
To the maximum extent permitted by Indian law, Brandwin.in shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, goodwill, or data, arising out of the use or inability to use the platform or services.
10.7 Third-Party Content:
Brandwin.in is not responsible for any third-party content, product descriptions, or communications shared through the platform. Any such materials are the responsibility of the respective sellers or third parties.
- Force Majeure
11.1 Brandwin.in and BrandwinSellers.in (“Brandwin Platforms”) shall not be liable for any delay, interruption, or failure to perform any obligation due to circumstances beyond their reasonable control (“Force Majeure Events”).
11.2 Force Majeure Events include, without limitation:
(a) natural disasters;
(b) power, network, or system outages;
(c) war, civil unrest, or labour disturbances;
(d) governmental restrictions, orders, or lockdowns;
(e) epidemic or pandemic-related disruptions;
(f) failures of third-party service providers; and
(g) cyberattacks or major technical failures.
11.3 During a Force Majeure Event, the obligations of the Brandwin Platforms shall be suspended, and no refund, compensation, or liability shall arise.
11.4 Services will be restored as soon as reasonably practicable once the Force Majeure Event ceases.
- Intellectual Property Rights
12.1 Ownership of Platforms and Content
Brandwin.in and BrandwinSellers.in (collectively, “Brandwin Platforms”) and all content appearing on these Platforms—including text, graphics, images, videos, software, databases, layouts, UI/UX elements, product displays, documentation, and all other digital assets—are the exclusive property of Brandwin or its lawful licensors. These materials are protected under applicable Indian laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, and other intellectual property regulations.
All rights not expressly granted in these Terms are reserved by Brandwin.
12.2 Trademarks and Brand Assets
The names “Brandwin,” “Brandwin.in,” “BrandwinSellers.in,” and all related logos, icons, service marks, and branding elements are trademarks or proprietary marks owned and controlled by Brandwin.
Any unauthorized copying, reproduction, modification, distribution, or usage of these marks for any commercial or non-commercial purpose is strictly prohibited and may result in legal action under Indian trademark and anti-infringement laws.
12.3 Restrictions on Use
Users, Sellers, Partners, and Visitors shall not:
(a) copy, store, reproduce, re-sell, distribute, or publish any content from the Brandwin Platforms without prior written approval;
(b) reverse engineer, decompile, modify, or create derivative works based on Platform content or systems;
(c) use Brandwin’s intellectual property for advertising, identification, comparison, or misleading activities;
(d) upload or distribute any content that infringes the IP rights of Brandwin or any third party.
12.4 Third-Party Intellectual Property
The Brandwin Platforms may incorporate content, technology, verification systems, or services provided by independent third-party companies.
All trademarks, logos, and content belonging to such third parties remain their exclusive property.
No user is permitted to use, copy, or distribute such third-party trademarks without obtaining prior written permission from the respective rights holders.
12.5 Ownership of Derivative Works Created by Brandwin
To the maximum extent permitted by Indian law, any enhancements, derivative works, data models, software improvements, or platform features developed by Brandwin using User Content or Seller Content shall remain the exclusive property of Brandwin.
Brandwin reserves the right to use, license, assign, or commercialize such derivative works without any obligation to compensate the original user or content provider.
12.6 No Transfer of Rights
Access to or use of the Brandwin Platforms does not grant any user ownership or rights over Brandwin’s intellectual property.
Users receive only a limited, revocable, non-exclusive right to access and use the Platforms for lawful purposes in accordance with these Terms.
- Notices
13.1 Legal Notices to Brandwin
13.1.1 All legal notices, demands, or formal communications to Brandwin.in or BrandwinSellers.in (collectively, “Brandwin Platforms”) must be made in writing and delivered personally, by registered post, speed post, or reputable courier service to the official address specified on the Brandwin Platforms. Notices shall be considered valid and effective only upon actual receipt by the Brandwin Legal & Compliance Department.
13.2 Legal Notices to Users and Sellers
13.2.1 All notices, warnings, account-related communication, legal notifications, or service-related announcements sent by Brandwin shall be deemed valid and effective if delivered through any of the following channels:
(a) email to the last-known email address provided by the User or Seller;
(b) SMS or WhatsApp to the last-known mobile number on record;
(c) communication delivered personally or by courier;
(d) notification displayed inside the User/Seller Dashboard; or
(e) public posting of such notice on an accessible area of either Brandwin Platform.
13.2.2 A notice will be treated as “received” when Brandwin can demonstrate that:
(a) it has been successfully sent to the contact details provided by the User/Seller, or
(b) the notice has been posted publicly or within the Dashboard in an accessible manner.
13.3 Validity of Electronic Communications
13.3.1 You agree that all agreements, disclosures, terms updates, warnings, and legal notices sent electronically by Brandwin—through email, dashboard alerts, in-platform messages, or publicly accessible site notices—satisfy any legal requirement that such communications must be in writing under Indian law or applicable international practices.
13.4 Monitoring of User/Seller Content
13.4.1 Brandwin monitors content submitted by Users and Sellers through automated systems and human review to ensure compliance with platform policies, Indian laws, and safety standards.
13.4.2 Any content that is illegal, infringing, fraudulent, misleading, harmful, or otherwise in violation of the Brandwin Rules & Policies may be removed without prior notice.
13.5 Suspension of Services
13.5.1 Brandwin reserves the right to suspend or restrict services to any User or Seller who violates the Brandwin Rules & Policies, Terms & Conditions, or any applicable Indian or international laws.
13.5.2 When determining suspension, Brandwin may consider:
(a) the number and frequency of violations,
(b) the proportion of such violations relative to total activity,
(c) severity and consequences of the violation, and
(d) whether the misconduct was intentional, negligent, or repeated.
13.5.3 Brandwin may temporarily or permanently block access in cases of repeated misuse, fraudulent activity, or attempts to circumvent platform safeguards.
- General Provisions
14.1 Entire Agreement
These Terms, together with any Additional Policies, Seller Agreements, or Platform Rules made available on Brandwin.in and BrandwinSellers.in (“Brandwin Platforms”), constitute the complete and exclusive agreement between you and Brandwin regarding your use of the Brandwin Platforms. All prior oral or written understandings relating to the same subject matter stand superseded.
14.2 Independent Relationship
You and Brandwin operate as independent entities. Nothing in these Terms shall be interpreted as creating an agency, partnership, joint venture, employment, or franchise relationship between you and Brandwin. You are not authorized to represent or bind Brandwin in any manner.
14.3 Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable under applicable law, that specific provision shall be removed or limited to the minimum extent necessary. The remaining Terms will continue to remain valid, enforceable, and in full effect.
14.4 Headings for Convenience
Section headings, titles, and clause labels are inserted solely for convenience and ease of reference. They do not affect the meaning, interpretation, or scope of the actual provisions.
14.5 No Waiver
Failure by Brandwin to enforce any provision or exercise any right under these Terms shall not constitute a waiver of that right. Brandwin may enforce its rights at any time, including with respect to similar, repeated, or future violations.
14.6 Assignment
Brandwin reserves the right to assign or transfer these Terms, including its rights, interests, and obligations, to any affiliate, subsidiary, or third party without requiring your consent.
You may not assign, transfer, or delegate your rights or obligations under these Terms without prior written approval from Brandwin.
14.7 Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Brandwin Platforms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
14.8 Seller Support & Feedback
For questions, concerns, feedback, or complaints related to the Brandwin Platforms or Services, you may contact Brandwin’s official support team through the communication channels provided on the respective websites Seller Support Email – support@brandwin.in . Brandwin will review and respond in accordance with its policies and applicable law.
- Seller Fees, Subscription & Payment Terms
15.1 Subscription fees are non-refundable unless mandated by law.
15.2 Brandwin may levy service fees, commissions, listing fees, penalties, logistics charges, and promotional fees.
15.3 Settlement cycles differ based on Seller Plan; settlements are net of charges.
15.4 Seller is responsible for correct GST compliance and taxation.
- Order Processing, Fulfilment & Packaging Standards
16.1 Orders must be processed within the timelines shown on the dashboard.
16.2 Packaging must follow Brandwin’s packing, labelling, and safety standards.
16.3 The delivered product must match the listing exactly.
16.4 Seller must maintain accurate stock levels in dashboard.
- Shipping, Delivery & Logistics Responsibilities
17.1 Brandwin may offer logistics services; alternatively, Seller may self-ship.
17.2 In self-ship cases, Seller bears transit risk until delivery.
17.3 Seller is liable for lost or damaged shipments caused by improper packing or non-compliant shipping.
17.4 Brandwin is not responsible for courier delays, failures, or unpredictable logistic interruptions.
- Returns, Replacements & Refunds
18.1 Seller must comply with Brandwin’s Returns Policy.
18.2 Seller must accept eligible returns (damaged, defective, incorrect, missing items).
18.3 Refund amounts may be adjusted in future settlements or recovered as dues.
18.4 Brandwin’s resolution in return disputes is final.
- Product Quality, Safety & Compliance
19.1 Products must comply with BIS, FSSAI, Legal Metrology, or any applicable Indian standards.
19.2 Products must be genuine, new (unless allowed category), and safe.
19.3 Regulated products must include certification upon request.
- Prohibited & Restricted Products
This includes:
– Counterfeit goods
– Illegal items
– Hazardous/unsafe items
– Expired or near-expiry goods
– Banned chemicals or regulated materials
– Items prohibited by Brandwin policy or Indian law
- Anti-Counterfeit & Authenticity Guarantee
21.1 Brandwin enforces zero tolerance towards counterfeit or fake goods.
21.2 If counterfeit goods are detected, Seller must compensate buyers and may be permanently banned.
21.3 Seller must provide authorization letters or proof of authenticity when requested.
- Buyer Data Access & Communication Rules
22.1 Seller will receive only the required buyer details essential for fulfilling orders.
22.2 Seller may not contact buyers outside the Brandwin platform.
22.3 Seller must ensure secure handling of buyer data.
22.4 Use of buyer data for marketing, storage, or third-party sharing is prohibited.
- Seller Conduct & Communication Rules
23.1 Sellers must maintain professionalism in all communication.
23.2 Off-platform deals, solicitation, or diversion are strictly prohibited.
23.3 Manipulating listings, pricing, reviews, or system loopholes is prohibited.
- Brandwin’s Intermediary Status (IT Act 2000 Compliance)
24.1 Brandwin acts purely as an intermediary under the IT Act 2000.
24.2 Brandwin does not manufacture, manage inventory, or guarantee product quality.
24.3 All responsibility for listings, inventory, delivery, authenticity, and compliance rests solely with the Seller.
- Taxes, Invoicing & Compliance
25.1 Seller must issue GST-compliant invoices where applicable.
25.2 All prices listed must be tax-inclusive.
25.3 Seller is solely responsible for tax filings and compliance.
- Termination, Suspension & Seller Exit
26.1 Seller may request account closure via written notice.
26.2 Brandwin may suspend or terminate a Seller for violations, fraud, misuse, or repeated returns/complaints.
26.3 Seller must complete pending orders and financial obligations even after termination.
